FinRadar Terms and Conditions

1. AGREEMENT TO TERMS

Welcome to FinRadar.ai (“FinRadar,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our financial analytics platform, including all tools, dashboards, data, and related services (collectively, the “Platform”).

By creating an account, accessing the Platform, or clicking “I Agree,” you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.

1.1 Binding Agreement

These Terms constitute a legally binding agreement between you (“Subscriber,” “User,” or “you”) and FinRadar. Your continued use of the Platform after any modifications to these Terms constitutes acceptance of those changes.

1.2 Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use the Platform. By accepting these Terms, you represent and warrant that you meet these requirements.

2. DEFINITIONS

“Account” means your registered user profile on the Platform.

“Analytical Tools” means the technical analysis tools, charting capabilities, screening functions, and other analytical features provided through the Platform.

“Content” means all data, analytics, charts, reports, insights, information, and materials made available through the Platform, including but not limited to market data, hedge fund filings, ETF analytics, technical signals, and macro economic indicators.

“Data Providers” means third-party entities that supply financial data, market information, or other content integrated into the Platform.

“Free Service” means the basic tier of Platform access available without subscription fees.

“Premium Service” means the enhanced tier of Platform access available through paid subscription.

“Proprietary Information” means all software, algorithms, methodologies, designs, trademarks, and other intellectual property owned by FinRadar.

3. PLATFORM ACCESS AND SERVICES

We strive to provide uninterrupted access to the Platform but do not guarantee continuous availability. The Platform may experience downtime for maintenance, updates, or due to factors beyond our control.

3.3 Service Modifications

FinRadar reserves the right to modify, suspend, or discontinue any aspect of the Platform at any time without prior notice. We may add, remove, or alter features, Content, or functionality as we deem necessary.

3.4 Technical Requirements

You are responsible for obtaining and maintaining all equipment, software, and internet connectivity necessary to access the Platform. FinRadar is not responsible for any issues arising from inadequate technical infrastructure on your end.

4. ACCOUNT REGISTRATION AND SECURITY

4.1 Account Creation

To access the Platform, you must create an account by providing accurate and complete information, including:

• Valid work email address
• First and last name
• Work nature/industry
• Username
• Secure password

4.2 Account Accuracy

You agree to maintain accurate, current, and complete account information. Failure to do so may result in suspension or termination of your access.

4.3 Account Security

You are solely responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Immediately notifying us of any unauthorized access or security breach
• Taking reasonable steps to prevent unauthorized use

4.5 Account Termination by User

You may terminate your account at any time through your account settings or by contacting support. Termination does not entitle you to refunds for previously paid subscription fees.

5. INTELLECTUAL PROPERTY RIGHTS

5.1 FinRadar Ownership

The Platform, including all software, algorithms, designs, analytical methodologies, user interfaces, and related technology, is the exclusive property of FinRadar and is protected by copyright, trademark, patent, and other intellectual property laws.

5.2 Limited License

Subject to your compliance with these Terms, FinRadar grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your personal or internal business purposes.

5.3 Restrictions on Use

You may not:

• Copy, modify, distribute, sell, or lease any part of the Platform
• Reverse engineer, decompile, or disassemble any software or technology
• Remove, alter, or obscure any copyright, trademark, or proprietary notices
• Create derivative works based on the Platform or Content
• Use automated systems (bots, scrapers, crawlers) to access or extract Content
• Frame, mirror, or replicate any portion of the Platform on other websites

5.4 Third-Party Rights

Data Providers and other third parties retain all rights to their respective content, trademarks, and intellectual property. These parties are intended third-party beneficiaries of these Terms with the right to enforce relevant provisions.

5.5 User-Generated Content

If you submit feedback, suggestions, or other communications to FinRadar, you grant us a perpetual, worldwide, royalty-free license to use, modify, and incorporate such submissions without compensation or attribution.

6. PERMITTED AND PROHIBITED USES

6.1 Permitted Uses

You may use the Platform and Content solely for:

• Personal investment research and analysis
• Internal business decision-making
• Educational purposes
• Lawful financial planning activities

6.2 Prohibited Uses

You expressly agree NOT to:

Regarding Content:

• Redistribute, retransmit, republish, or resell any Content
• Create indices, financial products, or investment vehicles based on Platform Content
• Provide Platform access or Content to third parties for commercial purposes
• Systematically download or store substantial portions of Content
• Use Content as the basis for algorithmic trading systems without written permission

Regarding Platform Conduct:

• Violate any applicable laws, regulations, or third-party rights
• Post, transmit, or distribute harmful, offensive, or illegal material
• Interfere with or disrupt Platform operations or servers
• Attempt to gain unauthorized access to any system or network
• Use the Platform to transmit malware, viruses, or malicious code
• Impersonate any person or entity
• Engage in fraudulent activities or misrepresent your identity
• Harvest or collect information about other users

Regarding Commercial Use:

• Use the Platform to compete with FinRadar
• Build similar products or services using Platform insights
• Incorporate Platform features into third-party applications without authorization

6.3 Compliance with Laws

You represent that you will use the Platform in compliance with all applicable federal, state, local, and international laws and regulations, including securities laws, data protection regulations, and financial reporting requirements.

7. SUBSCRIPTION AND PAYMENT TERMS

7.1 Free Service

The Free Service is provided at no charge and may be modified or discontinued at FinRadar’s discretion.

7.2 Premium Subscription

Premium Service is available for a monthly subscription fee of $14.99 USD, or as otherwise displayed on our website.

7.3 Billing and Payment

• Subscription fees are charged in advance on a recurring monthly basis
• Payment is processed automatically through Stripe or other designated payment processors
• You authorize FinRadar to charge your designated payment method for all subscription fees
• All fees are non-refundable except as required by law or explicitly stated in our refund policy

7.4 Payment Method

You must provide valid payment information and authorize automatic recurring charges. You agree to promptly update payment information if it changes or expires.

7.5 Price Changes

FinRadar reserves the right to modify subscription pricing with at least 30 days’ advance notice. Price changes will apply to subsequent billing cycles after notice is provided.

7.6 Failed Payments

If payment fails, we may:

• Attempt to process payment again
• Suspend or downgrade your account to Free Service
• Terminate your account after reasonable notice

7.7 Taxes

Subscription fees do not include applicable taxes. You are responsible for all sales, use, value-added, and other taxes associated with your subscription.

8. SUBSCRIPTION TERM AND CANCELLATION

8.1 Subscription Period

Premium subscriptions continue on a month-to-month basis until cancelled.

8.2 Cancellation by Subscriber

You may cancel your Premium subscription at any time through your account settings. Cancellation takes effect at the end of the current billing cycle, and you will retain Premium access until that date.

8.3 No Partial Refunds

Cancellation does not entitle you to a prorated refund for the current billing period.

8.4 Reactivation

You may reactivate a cancelled Premium subscription at any time by renewing through your account settings.

8.5 30-Day Satisfaction Policy

9. TERMINATION

9.1 Termination by FinRadar

We reserve the right to suspend or terminate your account immediately, without prior notice, if:

• You breach any provision of these Terms
• Your account activity suggests fraudulent or illegal behavior
• You engage in conduct harmful to FinRadar or other users
• Payment obligations remain unfulfilled after reasonable notice
• We are required to do so by law or regulation

9.2 Effect of Termination

Upon termination:

• Your right to access the Platform immediately ceases
• We may delete your account data and information
• Outstanding payment obligations remain due
• Provisions intended to survive termination remain in effect

9.3 Survival

The following sections survive termination: Intellectual Property Rights, Disclaimers and Limitations of Liability, Indemnification, Governing Law, and Dispute Resolution.

10. DISCLAIMERS AND LIMITATIONS OF LIABILITY

10.1 No Investment Advice

10.2 No Warranties Regarding Accuracy

While we strive for accuracy, FinRadar makes no warranties or representations regarding:

• The accuracy, completeness, or timeliness of Content
• The reliability of data from third-party Data Providers
• The absence of errors, omissions, or inaccuracies in analytical outputs
• The availability or continuity of Platform services

10.3 “AS IS” and “AS AVAILABLE”

THE PLATFORM AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• TITLE
• QUIET ENJOYMENT

10.4 Third-Party Content

FinRadar is not responsible for the accuracy, completeness, or reliability of content sourced from Data Providers or other third parties. Any reliance on such content is at your sole risk.

10.5 Limitation of Liability

10.6 Maximum Liability Cap

In no event shall FinRadar’s total aggregate liability exceed the amount you paid to FinRadar in subscription fees during the twelve (12) months preceding the claim, or $100 USD, whichever is greater.

10.7 Jurisdictional Limitations

Some jurisdictions do not allow exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless FinRadar, its affiliates, officers, directors, employees, agents, and Data Providers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising from:

• Your violation of these Terms
• Your use or misuse of the Platform or Content
• Your violation of any law, regulation, or third-party rights
• Any investment decisions or financial losses resulting from your use of the Platform
• Any content or information you submit or transmit through the Platform
• Your breach of any representations or warranties made herein

This indemnification obligation survives termination of these Terms and your use of the Platform.

12. PRIVACY AND DATA COLLECTION

12.1 Privacy Statement

Your use of the Platform is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.

12.2 Data Collection

By using the Platform, you consent to:

• Collection of registration information (name, email, work nature, etc.)
• Tracking of Platform usage and analytics
• Communication via email for service-related purposes
• Integration with ActiveCampaign for customer relationship management

12.3 Email Communications

You agree to receive:

• Transactional emails regarding your account and subscription
• Service announcements and Platform updates
• Marketing communications (which you may opt out of at any time)

12.4 Cookies and Tracking

The Platform uses cookies and similar technologies to enhance user experience, analyze usage patterns, and improve services. By using the Platform, you consent to such use.

13. THIRD-PARTY INTEGRATIONS AND LINKS

13.1 Third-Party Services

The Platform integrates with third-party services, including payment processors (Stripe) and data providers. Your use of these services is subject to their respective terms and privacy policies.

13.2 External Links

The Platform may contain links to third-party websites or resources. FinRadar is not responsible for the availability, content, or practices of external sites. Links do not constitute endorsement.

13.3 Third-Party Data Terms

Use of financial data from third-party providers is subject to additional terms and restrictions imposed by those providers. You agree to comply with all applicable third-party terms.

14. MODIFICATIONS TO TERMS

14.1 Right to Modify

FinRadar reserves the right to modify these Terms at any time. Changes become effective immediately upon posting to the Platform or as otherwise specified in the notice.

14.2 Notice of Changes

We will notify you of material changes through:

• Email notification to your registered address
• Prominent notice on the Platform
• In-app notification upon next login

14.3 Continued Use Constitutes Acceptance

Your continued use of the Platform after changes are posted constitutes your acceptance of the modified Terms. If you do not agree to changes, you must discontinue use of the Platform.

15. DISPUTE RESOLUTION

15.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

15.2 Informal Resolution

Before filing any formal claim, you agree to contact us at support@finradar.ai to attempt informal resolution of disputes.

15.3 Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

15.4 Class Action Waiver

TO THE EXTENT ARBITRATION DOES NOT APPLY, YOU WAIVE YOUR RIGHT TO TRIAL BY JURY for any disputes arising from these Terms.

15.6 Limitations Period

You must bring any claim within one (1) year of the date the claim arose, or such claim is permanently barred.

15.7 Exceptions to Arbitration

The following may be brought in court without arbitration:

• Small claims court actions (within jurisdictional limits)
• Actions seeking injunctive relief for intellectual property infringement
• Actions to enforce arbitration awards

16. GENERAL PROVISIONS

16.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and FinRadar regarding the Platform and supersede all prior communications, agreements, and understandings.

16.2 Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be severed and shall not affect the validity and enforceability of remaining provisions.

16.3 No Waiver

Failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. No waiver shall be effective unless in writing and signed by an authorized representative of FinRadar.

16.4 Assignment

You may not assign or transfer these Terms or your account without FinRadar’s prior written consent. FinRadar may assign these Terms to any affiliate, successor, or acquirer without restriction.

16.5 Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including but not limited to:

• Acts of God, natural disasters, or severe weather
• War, terrorism, civil unrest, or government actions
• Labor disputes or strikes
• Internet or utility failures
• Pandemics or public health emergencies
• Equipment failures or cyberattacks

16.6 Relationship of Parties

These Terms do not create any partnership, joint venture, employment, or agency relationship between you and FinRadar. You have no authority to bind FinRadar or make commitments on our behalf.

16.7 Notices

16.8 Language

These Terms are drafted in English. Any translations are provided for convenience only. In case of conflict, the English version prevails.

16.9 Headings

Section headings are for convenience only and do not affect interpretation of these Terms.
